Terms of Service
1. The Service
Renewal IQ is a software-as-a-service (SaaS) product provided by ML Software, LLC (“we,” “us,” or “our”) that helps multi-location businesses track business licenses, permits, and registrations, and receive automated reminders before expiration dates.
Renewal IQ tracks what you enter. It does not verify permit status with issuing agencies, and it does not constitute legal or compliance advice. You are responsible for the accuracy of the permit data you enter and for ensuring your business maintains valid permits and licenses at all times.
2. Account Registration
To use Renewal IQ you must create an account. You agree to:
- Provide accurate and complete information during registration
- Keep your login credentials confidential
- Notify us immediately of any unauthorized access to your account
- Be responsible for all activity that occurs under your account
You must be at least 18 years old and authorized to enter into contracts on behalf of your business to create an account.
3. Subscription and Billing
Renewal IQ is offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annual, depending on your plan).
- Free trial: New accounts receive a 30-day free trial. Your payment method is collected at signup but not charged until the trial ends.
- Billing: Subscriptions renew automatically at the end of each billing period. You will be charged the then-current plan price.
- Cancellation: You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods.
- Money-back guarantee: If you are not satisfied within 30 days of your first paid charge, contact us for a full refund. This applies once per account.
- Price changes: We will give at least 30 days notice before changing subscription prices. Continued use after the effective date constitutes acceptance.
All billing is handled by Stripe. We do not store credit card numbers.
4. Acceptable Use
You agree to use Renewal IQ only for lawful business purposes. You may not:
- Use the Service to store or transmit illegal content
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Reverse engineer, decompile, or extract source code from the Service
- Use the Service to send spam or unsolicited communications to third parties
- Resell or sublicense access to the Service without written permission
- Interfere with the Service or its servers in any way
5. Your Data
You retain ownership of all data you enter into Renewal IQ. By using the Service, you grant us a limited license to store, process, and transmit your data as necessary to provide the Service.
We do not sell your data and do not use it for advertising. See our Privacy Policy for full details on how we handle your data.
6. SMS Notifications
If you enable SMS reminders, you consent to receive automated text messages from Renewal IQ at the phone numbers you provide. Message and data rates may apply. You can opt out at any time by removing your phone number in Settings or by replying STOP to any message. By enabling SMS, you represent that you are authorized to receive text messages at the provided numbers.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT REMINDERS WILL BE DELIVERED WITHOUT DELAY OR FAILURE.
RENEWAL IQ IS A TRACKING TOOL ONLY. WE DO NOT GUARANTEE THAT USE OF THE SERVICE WILL PREVENT PERMIT LAPSES, REGULATORY VIOLATIONS, OR BUSINESS CLOSURES. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING VALID PERMITS AND LICENSES FOR YOUR BUSINESS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ML SOFTWARE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR REGULATORY FINES, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless ML Software, LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
10. Termination
We may suspend or terminate your account if you violate these Terms, fail to pay, or engage in conduct that harms the Service or other users. We will provide notice where reasonably practicable. Upon termination, your right to use the Service ends immediately. We will retain your data for 90 days post-termination to allow for reactivation.
11. Changes to These Terms
We may update these Terms from time to time. We will update the “Last updated” date at the top of this page and, for material changes, notify you by email. Continued use of the Service after the effective date of changes constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Douglas County, Colorado.
